1. Agreement to Terms

By subscribing to MLS Genie™, ("MLS Genie™ — a RoxxiStudios™ product", "Company", "we", "us"), you ("Subscriber", "you") agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

2. Platform Description

MLS Genie™ is a WordPress plugin-based SaaS platform providing CRM, MLS import, property intelligence, social marketing, and related tools for real estate professionals. The platform is delivered as a WordPress plugin installed on Subscriber's hosting environment. The MLS Genie™ plugin is licensed to the Subscriber for the duration of an active, paid subscription — it is not sold. Rights to use the plugin cease upon cancellation or non-payment.

3. Subscription and Billing

Subscriptions are billed monthly on the anniversary of the activation date. The one-time setup fee ($4,995) is charged at activation and is non-refundable. Monthly fees are due in advance. Failure to pay within 7 days of the due date may result in service suspension.

3a. Cancellation & Effect on Plugin Access

Either party may cancel the subscription at any time. Upon cancellation or non-payment: (a) the MLS Genie™ plugin will cease to function on the Subscriber's installation — platform features, MLS import, CRM, and all connected tools will become unavailable; (b) any Exclusive Territory protection held by the Subscriber will lapse immediately and that territory will become available to new subscribers; (c) the Subscriber's WordPress installation and all data (contacts, listings, content) remain entirely in the Subscriber's possession. The Company will provide no less than 7 days written notice before a territory lapsed due to cancellation is offered to another subscriber, giving the Subscriber the opportunity to reinstate their subscription and reclaim the territory.

4. Exclusive Territory

Subscribers may elect to include an Exclusive Territory clause in their agreement. The scope of exclusivity is determined by the Subscriber's plan tier. Agent plan subscribers may designate one ZIP code; no other Agent-tier subscriber will be activated for that ZIP while the clause is in effect. Team and Broker plan subscribers may designate one region (approximately city-boundary scope, defined collaboratively with the Company at signup); no other Team or Broker-tier subscriber will be activated in that region while the clause is in effect. Agent-tier subscribers within a Team or Broker-protected region are not restricted by that region's exclusivity. Additional ZIP codes (Agent) or regions (Team/Broker) may be added as paid add-ons. Territory scope is defined in writing at signup and forms part of the Master Subscription Agreement with MLS Genie™. A small number of subscribers hold grandfathered exclusive arrangements predating this tiered model; those arrangements are honored under their original terms. Territory protection lapses upon subscription cancellation or non-payment. The Company will provide advance notice before a lapsed territory becomes available to a new subscriber.

5. Data & Site Ownership

All content, contacts, listings, and data generated by the Subscriber on their MLS Genie™ installation remain the property of the Subscriber. The Company does not claim ownership of Subscriber data. Upon cancellation, Subscriber retains their WordPress installation and all data therein. For clarity: the WordPress site and its data are owned by the Subscriber; the MLS Genie™ plugin and its proprietary code are owned by the Company and are licensed — not sold — to the Subscriber for the term of an active subscription.

6. Acceptable Use

You agree not to use MLS Genie™ to transmit spam, violate MLS rules or RESO standards, infringe on intellectual property rights, or engage in any unlawful activity. The Company reserves the right to terminate accounts in violation of these terms without refund.

7. Third-Party Services

MLS Genie™ integrates with third-party services including MLS data providers, property data providers, mapping services, and social publishing platforms. Use of these services is subject to their respective terms. The Company is not responsible for third-party service interruptions.

8. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the platform. Total liability shall not exceed the amount paid by the Subscriber in the 3 months preceding the claim.

9. Modifications

The Company may modify these Terms at any time. Subscribers will be notified via email at least 14 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the State of California. Disputes shall be resolved in the courts of San Bernardino County, California.
