1. Agreement to Terms

By subscribing to MLS Genie™, ("MLS Genie™ — a RoxxiStudios™ product", "Company", "we", "us"), you ("Subscriber", "you") agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

2. Platform Description

MLS Genie™ is a WordPress plugin-based SaaS platform providing CRM, MLS import, property intelligence, social marketing, and related tools for real estate professionals. The platform is delivered as a WordPress plugin installed on Subscriber's hosting environment. The MLS Genie™ plugin is licensed to the Subscriber for the duration of an active, paid subscription — it is not sold. Rights to use the plugin cease upon cancellation or non-payment.

3. Subscription and Billing

Subscriptions are billed monthly on the anniversary of the activation date. If an optional one-time onboarding or new-site build service is purchased, that one-time fee (quoted at the time of purchase) is charged at activation and is non-refundable. Monthly fees are due in advance. Failure to pay within 7 days of the due date may result in service suspension.

3a. Cancellation & Effect on Plugin Access

Either party may cancel the subscription at any time. Upon cancellation or non-payment: (a) the MLS Genie™ plugin will cease to function on the Subscriber's installation — platform features, MLS import, CRM, and all connected tools will become unavailable; (b) any ZIP-code exclusivity held under an MLS Genie™ Managed service agreement lapses per Section 4 upon cancellation of that service agreement; (c) the Subscriber's WordPress installation and all data (contacts, listings, content) remain entirely in the Subscriber's possession. The Company will provide no less than 7 days written notice before a ZIP code lapsed due to cancellation is offered to another service client, giving the client the opportunity to reinstate their service agreement and reclaim it.

4. Exclusive Territory

Exclusive Territory is an optional paid feature of MLS Genie™ Managed service agreements (done-for-you SEO, content, and marketing services). It is a service exclusivity, not a platform-use restriction: platform subscriptions are not territorially limited. A Managed service client may reserve one or more ZIP codes; while the client's service agreement is active and paid, the Company will not perform SEO, content, or marketing services for a competing real estate agent, team, or brokerage within a reserved ZIP code. ZIP-code exclusivity is priced per ZIP code by market density (ranging from $495 to $995 per ZIP code per month), with volume discounts available when multiple ZIP codes are reserved; brokerages may reserve multiple ZIP codes to cover a full footprint. Reserved ZIP codes are recorded in writing and form part of the client's Managed service agreement. A small number of clients hold grandfathered territory arrangements predating this model; those arrangements are honored under their original terms. ZIP-code exclusivity lapses upon cancellation or non-payment of the service agreement; the Company will provide advance notice before a lapsed ZIP code becomes available to another service client.

4a. Code Integrity & Modification

The MLS Genie™ plugin is delivered as a complete, versioned release and operates as part of a connected service: license validation, MLS feed credentials, AI features, messaging, and other partner-backed services are delivered to the installation from the Company's servers on the condition that the installed code matches the published release. Subscribers and their contractors must not modify, alter, remove, reverse-engineer for circumvention, or supplement the plugin's files — including removing or disabling the daily license and integrity check. Each installation is automatically verified against the published release; an installation whose files do not match, or that stops checking in, may be flagged and the license suspended, which discontinues all connected services until the installation is restored and the license reactivated by the Company. Modified installations are unsupported: the Company's support, warranty, and service obligations apply only to unmodified releases. Nothing in this Section limits any rights a Subscriber may hold under the open-source licenses applicable to WordPress or to any open-source components; it defines the conditions under which the Company's hosted and connected services are provided. Custom development, when desired, is available from the Company as a quoted service and is delivered as part of the supported release.

5. Data & Site Ownership

All content, contacts, listings, and data generated by the Subscriber on their MLS Genie™ installation remain the property of the Subscriber. The Company does not claim ownership of Subscriber data. Upon cancellation, Subscriber retains their WordPress installation and all data therein. For clarity: the WordPress site and its data are owned by the Subscriber; the MLS Genie™ plugin and its proprietary code are owned by the Company and are licensed — not sold — to the Subscriber for the term of an active subscription.

6. Acceptable Use

You agree not to use MLS Genie™ to transmit spam, violate MLS rules or RESO standards, infringe on intellectual property rights, or engage in any unlawful activity. The Company reserves the right to terminate accounts in violation of these terms without refund.

7. Third-Party Services

MLS Genie™ integrates with third-party services including MLS data providers, property data providers, mapping services, and social publishing platforms. Use of these services is subject to their respective terms. The Company is not responsible for third-party service interruptions.

8. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the platform. Total liability shall not exceed the amount paid by the Subscriber in the 3 months preceding the claim.

9. Modifications

The Company may modify these Terms at any time. Subscribers will be notified via email at least 14 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the State of California. Disputes shall be resolved in the courts of San Bernardino County, California.
